Terms of Service

By creating an account, subscribing to any plan, submitting an intake form, or otherwise accessing or using the Business Hero platform ("Platform"), you ("User," "Client," or "you") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and all incorporated policies referenced herein.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform. Continued use constitutes acceptance of any updated Terms.

If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

Business Hero, Inc. ("Business Hero," "we," "us," or "our") operates a legal technology and workflow management platform that facilitates connections between small business owners and independent licensed attorneys. Business Hero is not a law firm and does not practice law.

Legal services, when provided, are rendered by independent, licensed attorneys who are not employees or agents of Business Hero. Business Hero provides administrative, organizational, and technology infrastructure to support legal service delivery — it does not direct or control the legal judgment of participating attorneys.

Use of the Platform does not constitute legal representation. No attorney-client relationship is formed between you and Business Hero at any time.

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with any third party
• Accept full responsibility for all activity occurring under your account
• Notify us immediately at info@mybusiness-hero.com of any unauthorized account access

You are solely responsible for any actions taken through your account, whether or not authorized by you. Business Hero is not liable for losses resulting from unauthorized account access caused by your failure to secure your credentials.

Business Hero offers subscription plans on a monthly or annual basis. By subscribing, you agree to the following:

• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled at least 24 hours before the renewal date.
• Billing Authorization: You authorize Business Hero to charge your payment method on file for each renewal cycle.
• Price Changes: We will provide at least 30 days advance notice of price changes. Continued use after a price change constitutes acceptance.
• No Guaranteed Availability: Subscription plans do not guarantee attorney availability, litigation representation, emergency legal response, or any specific legal outcome.
• Consultation Scheduling: Consultations included in subscription plans are subject to attorney availability and must be scheduled through the Platform.
• Cancellation: You may cancel your subscription at any time through your client portal. Cancellation takes effect at the end of the current billing period.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform for any illegal purpose or in violation of any federal, state, or local law
• Submit false, misleading, or fraudulent information in any intake form or communication
• Attempt to gain unauthorized access to any portion of the Platform or its backend infrastructure
• Upload or transmit malicious code, viruses, or any content that could damage the Platform
• Harass, threaten, or abuse any attorney, staff member, or other user of the Platform
• Attempt to circumvent attorney conflict checks or misrepresent your identity to obtain representation
• Use the Platform to facilitate any matter that is frivolous, vexatious, or intended to harm a third party
• Reverse engineer, scrape, or systematically extract data from the Platform
• Resell or commercially exploit access to the Platform without written authorization

We reserve the right to terminate accounts that violate these acceptable use standards without prior notice or refund.

Submitting an intake form, uploading a document, or sending a message through the Platform does not by itself create an attorney-client relationship. An attorney-client relationship is established only when:

• A licensed attorney explicitly confirms engagement in writing (via an engagement letter or equivalent confirmation), and
• A conflict-of-interest check has been completed and cleared by the assigned attorney

All content, trademarks, software, design elements, and intellectual property on the Platform are owned by or licensed to Business Hero. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during the term of your subscription.

You retain ownership of documents and content you upload. By uploading content, you grant Business Hero a limited license to store, process, and display that content solely to provide the Platform services.

In no event shall Business Hero's total cumulative liability to you exceed the greater of: (a) the total fees paid by you to Business Hero in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100.00).

These limitations apply whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, and even if Business Hero has been advised of the possibility of such damages.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain types of damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

Informal Resolution: Before initiating any formal dispute, you agree to first contact Business Hero at info@mybusiness-hero.com and allow 30 days for good-faith resolution.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in Los Angeles County, California.

Class Action Waiver: You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Business Hero.

Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, pending arbitration.

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email and/or by posting a notice on the Platform. Changes take effect 14 days after posting for existing users, or immediately for new users.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

Business Hero may suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice. You may terminate your account at any time through your account settings.

Upon termination: (a) your subscription will be canceled; (b) your access to the Platform will cease; (c) we may retain certain data as required by our Document Retention Policy; and (d) provisions that by their nature survive termination (including limitation of liability, dispute resolution, and governing law) shall remain in force.
