Conflict of Interest Disclaimer

How conflict-of-interest checks work on the Business Hero platform and what happens if a conflict is identified.

An attorney cannot represent you if a conflict of interest exists. Conflict checks are completed by the assigned attorney β€” not by Business Hero β€” and may result in the attorney declining your matter. Submitting information to this Platform does not guarantee that representation will be provided.

1. What Is a Conflict of Interest?

Under professional conduct rules applicable to licensed attorneys, a conflict of interest exists when an attorney's representation of one client is, or may be, materially limited by the attorney's responsibilities to another current or former client, a third party, or the attorney's own personal interests.

Common conflict scenarios include:

  • The opposing party in your matter is a current or former client of the attorney
  • The attorney has a financial interest in the outcome of your matter
  • The attorney previously represented someone adverse to you in a related matter
  • A close personal relationship between the attorney and a party in your matter

These rules exist to protect clients. Business Hero supports and does not interfere with attorneys' professional obligation to conduct thorough conflict checks before accepting an engagement.

2. How Conflict Checks Work on the Platform

When you submit a matter through the Platform, the following process occurs:

  • Your intake information, including the names of parties involved in your matter, is shared with the attorney being considered for assignment
  • The attorney independently conducts a conflict-of-interest check using their own records and professional judgment
  • If no conflict is found, the attorney may accept the engagement and proceed
  • If a conflict is identified, the attorney will decline the matter and Business Hero will attempt to assign an alternative attorney where possible

Conflict check timelines vary by attorney. Business Hero does not control how quickly individual attorneys complete their checks.

3. Information Shared During Conflict Checks

In order to enable an effective conflict check, the following information from your intake submission may be shared with one or more attorneys:

  • Your name and business name
  • Names of adverse parties, counterparties, or other individuals mentioned in your matter
  • General description of the legal matter (not the full substance)

This limited disclosure is necessary and does not constitute the establishment of an attorney-client relationship. The attorney is ethically obligated to maintain the confidentiality of information received during the conflict check process.

4. What Happens If a Conflict Is Found

If the initially assigned attorney identifies a conflict of interest:

  • The attorney will decline the matter and notify Business Hero
  • Business Hero will attempt to identify an alternative attorney who is conflict-free
  • You will be notified of the conflict and any reassignment via your client portal and email
  • In some cases, no conflict-free attorney may be available on the Platform for your specific matter

If we are unable to identify a conflict-free attorney for your matter, you will be notified and may be eligible for a refund in accordance with our Refund Policy. Business Hero does not guarantee that a conflict-free attorney will be available for every matter submitted.

5. Your Responsibility to Disclose

Accurate conflict checking depends on you providing complete and truthful information in your intake submission. You agree to:

  • Disclose the names of all opposing parties, counterparties, and relevant third parties
  • Promptly notify Business Hero if you become aware of any relationship between the assigned attorney and an adverse party in your matter
  • Not intentionally withhold or misrepresent information in order to circumvent conflict checks

Intentional circumvention of conflict checks may result in immediate termination of your account and may expose you to liability.

6. Conflicts Discovered After Engagement Begins

If a conflict of interest is discovered after an engagement has commenced, the attorney is obligated to withdraw from the representation in accordance with professional conduct rules. In this case:

  • You will be notified promptly by the attorney and/or Business Hero
  • Business Hero will attempt to facilitate a smooth transition to conflict-free counsel
  • Any work product already delivered remains yours
  • Fees for work already completed may not be refundable
